YOUR RIGHT TO USE THE X-COPPER SITE
Provided that you accept and comply with the Terms and Conditions, you have the limited right to access and use the X-COPPER Site to view the various materials, including information, documents and other content on the X-COPPER Site and to copy, download or print a single copy of any of the information and materials available on it, solely for your personal non-commercial use or your internal informational use in business and not for resale or distribution to anyone else, provided that you reproduce all of X-COPPER's proprietary markings on each copy of reproduced material. COMMUNICATIONS FROM YOU TO THE X-COPPER SITE

DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY
The X-COPPER Site and the products and services referenced in it are provided on an "as is" and "as available" basis without warranties of any kind, either express, statutory, oral or implied, including but not limited to, non-infringement or freedom from defect other than those warranties which are imposed by and incapable of exclusion, restriction or modification under the laws applicable to these Terms and Conditions. We do not guarantee that you will have continuous, uninterrupted, or secure access to the X-COPPER Site, or that the X-COPPER Site will be error-free, or that defects, if any, will be corrected, or that the X-COPPER Site is free of viruses or other harmful components. We do not make any representations or warranties about the accuracy, reliability, currency, completeness, quality, performance, timeliness or suitability of the X-COPPER Site or the information on the X-COPPER Site. Where information on the X-COPPER Site is based on content from third parties, X-COPPER is not responsible for such content. You hereby waive any and all claims against X-COPPER, its affiliates and related companies, and each of their respective directors, officers, employees, consultants and agents arising out of your use of, or inability to use the X-COPPER Site or any links to other sites made available on the X-COPPER Site or the content contained on such site(s).
INDEMNIFICATION
To the maximum extent permitted by applicable law, you will defend, indemnify and hold harmless X-COPPER, its affiliates and related companies, and each of their respective directors, officers, employees, consultants and agents from and against all claims, liability, and expenses, including all legal fees and costs, arising out of: your breach of any provision of the Terms and Conditions or any applicable law or proprietary or privacy right in connection therewith. X-COPPER reserves the right, in its sole discretion and at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You will co-operate as fully as reasonably required in the defence of any claim.
LINKS TO THIRD PARTY SITES AND POP-UNDERS
The X-COPPER Site may contain links to third-party web sites that are not under our control or operation. We provide any such links only as a convenience and in providing them X-COPPER is in no way acting as a publisher or disseminator of the material contained. In addition, we are not responsible for the contents of any linked site or any third-party site linked to a linked site, or for any changes or updates to any such sites. Any document or order properly transmitted electronically in connection with the X-COPPER Site shall be considered to be a "writing" or "in writing," and any such document or order when containing, or to which there is affixed, a signature (including, but not limited to, an electronic identification consisting of symbols or codes which are to be affixed to or contained in a transmitted document or order) shall be deemed for all purposes to have been "signed" and to constitute an "original" when printed from electronic files or records established and maintained in the normal course of business. You absolve and release us from any claim of harm resulting from any cause beyond our control, including, but not limited to, failure of electronic or mechanical equipment or communication lines, telecommunications or other interconnect problems, computer viruses or other damaging code or data, unauthorized access, theft, operator errors, severe weather, earthquakes, natural disasters, strikes or other labor problems, wars, or governmental restrictions.
APPLICABLE LAWS
This X-COPPER Site is aimed at users in Canada and the United States. The content of the X-COPPER Site (excluding linked sites belong to third parties) is prepared by X-COPPER from its offices within the Province of Ontario, Canada. By accessing the X-COPPER Site, you and X-COPPER agree that all matters relating to your access to, or use of, the X-COPPER Site shall be governed by the laws of the Province of Ontario, without regard to the conflicts of laws and principles thereof. The parties specifically disclaim the UN Convention on Contracts for the International Sale of Goods. You and X-COPPER agree that each party shall comply with such obligations as may be required of it with respect to the protection of personal information ("Data") in those jurisdictions where such Data may be located and/or accessed (for example, such legislation as may be applicable in Canada). In addition, you agree that you shall not, in undertaking your obligations pursuant to this Agreement, undertake any acts or omissions that would result in X-COPPER being in breach of such legislation. The parties confirm that it is their wish that these Terms and Conditions, as well as all other documents relating hereto, including all notices, have been and shall be drawn up in the English language only.

These Terms and Conditions represent our entire understanding with respect to their subject matter. Any of these Terms and Conditions which are determined to be invalid or unenforceable in any jurisdiction shall be ineffective to the extent of such invalidity or unenforceability in such jurisdiction, without rendering invalid or unenforceable any of the remaining Terms or affecting the validity or enforceability of these Terms and Conditions n any other jurisdiction. No waiver by us of any right under these Terms and Conditions will be deemed to be either a waiver of any other right or provision or a waiver of that same right or provision at any other time. You may not assign, transfer or delegate your rights or obligations under these Terms and Conditions, in whole or in part, without our prior written consent. These Terms and Conditions shall be binding upon and inure to the benefit of each of us and our respective successors and permitted assigns. You expressly consent to the exclusive forum, jurisdiction, and venue of the courts of Ontario and/or the Federal Court of Canada in Ontario, or any other judicial district or jurisdiction as X-COPPER may determine in any and all actions, disputes, or controversies relating hereto.
